Term and Conditions of Usage

Background:

These Terms and Conditions create an agreement between you and Lakson Technology Pte Ltd (hereinafter referred to by name or as “us”, “we”, “our”). These Terms and Conditions govern your use of the beta version of SensorComb (“the CMS Portal”), including any and all related components and documentation.

  1. Agreement

1.1 By accepting these Terms and Conditions and continuing to login and use the Portal, you agree to be bound by these Terms and Conditions and hereby enter into a legally binding Agreement with us.

1.2 If you do not accept these Terms and Conditions, you will not be permitted to login or use the Cloud Services Portal.

1.3 The name of the CMS Portal may be change. Name change of the CMS Portal shall not affect any of these Terms and Conditions. It will apply to the new name of the portal thereafter.

  1. Interpretation

2.1 Unless the context otherwise requires, each reference in these Terms and Conditions to:

2.1.1 “writing”, and any related expression, includes a reference to any communication effected by electronic transmission or similar means;

2.1.2 a statute or a provision of a statute is a reference to that statute or provision as amended or re-enacted at the relevant time;

2.1.3 “these Terms and Conditions” is a reference to these Terms and Conditions;

2.1.4 a Schedule is a schedule to these Terms and Conditions; and

2.1.5 a Clause or paragraph is a reference to a Clause of these Terms and Conditions; and

2.1.6 a “Party” or the “Parties” refer to the parties to these Terms and Conditions.

2.2 The headings used in these Terms and Conditions are for convenience only and shall have no effect upon the interpretation of these Terms and Conditions.

2.3 Words imparting the singular number shall include the plural and vice versa.

2.4 References to any gender shall include the other gender.

  1. Licence and Use of the CMS Portal

3.1 You are hereby granted a non-exclusive licence to use the Software subject to these terms and conditions.

3.2 This licence entitles you to login and use the CMS Portal for testing and evaluation purposes.

3.3 You may not:

3.3.1 Attempt to hack the CMS Portal in any way;

3.3.2 Reverse engineer, decompile or disassemble the CMS Portal;

3.3.3 Create derivative works based on the CMS Portal;

3.3.5 Resell the Login Access; or

3.3.6 Allow login to the CMS Portal by Unauthorised Personal.

  1. Disclaimer of Warranties and Liability

4.1 The CMS Portal is currently in development and is released solely for the purposes of testing.  You hereby acknowledge that the CMS Portal is not a finished product and as such may contain defects.  The CMS Portal is provided “as is”.

4.2 We make no representation or warranty that the CMS Portal will meet your requirements, be of satisfactory quality, be fit for a particular purpose, be compatible with all computer clients, or will be secure.

4.3 We will take all reasonable measures to secure the data stored on the CMS Portal. However as the CMS Portal is not a finished product and as such you acknowledge that use of the CMS Portal may lead to data loss or the data held thereon.

4.4 You acknowledge that your use of the CMS Portal is at your own risk.

4.5 We shall not be liable for any direct, indirect, consequential or incidental loss or damage of any kind resulting from or relating to the CMS Portal or its use.

  1. CMS Portal Updates

5.1 We may from time to time during the Beta Test Period release updates for the CMS Portal. .

5.2 The updates will be automatically reflected in the CMS Portal

5.3 As it is an online Cloud Portal, you will not be able to opt out of any updates to the CMS Portal.

  1. Support

No specific technical support is provided for the CMS Portal at the moment.  We ask that you submit tickets in the normal manner and our Support Team will respond to you directly.

  1. Reporting and Feedback

You should submit feedback via the ‘Feedback’ option on the website.

  1. Data Protection

8.1 Usage of the CMS Portal will require you to provide login details to the Remote CCTV Systems to be monitored, these information includes, but not limited to, login hostnames, username and password, system location, contact person for the system. Depending on system models, details about the system’s model number, serial number, MAC address, IP Address, and other working details will be collected from the CCTV Systems in order to be analysed and presented to you their current and past working status.

8.2 Any data collected by us will be collected, processed and held in accordance with the Company’s rights and obligations arising under the provisions and principles of the Data Protection Act.

8.3 All data collected and held by us will be governed by our Privacy Policy.

  1. Termination

9.1 Your free subscription to use the CMS Portal shall terminate at the end of beta testing period or a specified period from the start of the use of the CMS Portal that was conveyed to you, whichever is later.

9.2 We reserve the right to terminate prior to the end of the term if you commit a material breach of these Terms and Conditions.

9.3 We reserve the right to terminate the Beta Test Period if continue development of the CMS Portal is deem to be unfeasible to be continued.

9.4 Any and all obligations which either expressly or by their nature continues beyond the termination, cancellation or expiration of the Beta Test Period or your subscription shall survive termination under this Clause.

9.5 You have the right to withdraw from the CMS Portal Services Free Trial at any time by notifying us in writing. We will remove the system from the CMS Portal within 7 days of the notification.

  1. Relationship of Parties

Nothing in these Terms and Conditions shall create, or be deemed to create, a partnership, the relationship of principal and agent, or of employer and employee between you and Lakson Technology Pte Ltd

  1. Severance

In the event that one or more of the provisions of these Terms and Conditions is found to be unlawful, invalid or otherwise unenforceable, that / those provision(s) shall be deemed severed from the remainder of these Terms and Conditions. The remainder of these Terms and Conditions shall be valid and enforceable.

  1. Modification

12.1 We may modify the CMS Portal and / or these Terms and Conditions at any time.  In the event that modifications are made, we will publish details of them on our website at cms.lakson.com.sg.

12.2 If you do not agree to be bound by any modified terms and conditions we may introduce, you should immediately cease using the CMS Portal upon publication of those terms and conditions.

  1. Law and Jurisdiction

13.1 These Terms and Conditions (including any non-contractual matters and obligations arising therefrom or associated therewith) shall be governed by, and construed in accordance with, the laws of Singapore.

13.2 Any dispute, controversy, proceedings or claim between the Parties relating to these Terms and Conditions (including any non-contractual matters and obligations arising therefrom or associated therewith) shall fall within the jurisdiction of the courts of Singapore.
